Frequently Asked Questions

What you need to know

By when must I complete the redenomination? +
The deadline in force is 31 December 2026 — 12 months after euro adoption. On 2 September 2026 the Bulgarian Parliament passed an extension to 36 months, i.e. to 31 December 2028, but the amendment enters into force on the day of its promulgation in the State Gazette and, as at 3 September 2026, has not yet been promulgated.
What happens if I miss the deadline? +
Your company will be in breach of the law. More importantly, the Commercial Register will not accept any subsequent filing without simultaneously redenominating the capital — this can block corporate actions such as share transfers, management changes, or capital increases. The amendment passed on 2 September 2026 removes this requirement, but only once it is promulgated in the State Gazette.
Is there a state fee? +
No. Under Art. 32(4) of the Act, the publication of amended constitutive documents is exempt from state fees. You pay only the service fee.
What is the power of attorney and why is it needed? +
The power of attorney is required for filing the application with the Commercial Register. It is specific only to the application for registration of the circumstances related to the redenomination. No notarial or other certification is required.
Does the 5% adjustment rule apply? +
For limited liability companies (OOD), if preserving the partners' rights requires adjusting the redenominated capital, the adjustment may be up to 5% and must be made through an amendment of the Articles of Association — without applying the rules for capital increase or decrease (Art. 32(5)).
What is the fixed exchange rate? +
€1 = BGN 1.95583. The rate is set by Council Regulation (EU) 2025/1409 and is irrevocable. All redenominations are performed at this rate.
How long does the procedure take? +
On your side — approximately 20 minutes to print the documents we send you, sign them, and return them scanned (or photographed with your phone). On our side — documents are prepared and sent to you within 1 hour of receiving payment and data. Registration in the Commercial Register usually takes 1–3 business days after filing.
Do you issue invoices? +
A receipt for the paid fee is issued and sent to your email address.
